1. The Service

LedgerPilot is an intelligent accounting automation platform. It extracts transactions from uploaded PDF statements, categorizes them using rules, workspace history, and AI assistance, prepares journal-ready accounting data, produces reports and exports, and supports one-time and recurring invoicing, multi-client workspaces, and team access control.

LedgerPilot is a software tool. It does not provide accounting, bookkeeping, tax, legal, audit, or financial advice. Qualified professional review remains your responsibility.

2. Accounts, Workspaces, and Access Control

Provide accurate registration details and confirm your email before use.
Keep credentials confidential. Organization administrators must enroll in multi-factor authentication.
Each organization is a separate tenant. Administrators may invite members, assign roles, and restrict members to specific client workspaces. You are responsible for the access you grant.
Client profiles, including those for individuals or households, must be created only with lawful authority over that data.
Notify us promptly of suspected unauthorized access.

3. Your Data and Your Responsibilities

You retain ownership of Customer Data and grant us the rights needed to host, process, and display it to provide the Service.
You confirm you have the right to upload all documents and data you submit.
You will review and validate extracted transactions, categories, tax treatments, journal entries, invoices, and reports before relying on them for filings, audits, lending, or decisions.
You will maintain your own records and backups where law or prudence requires.

4. AI-Assisted Output

Extraction, categorization, vendor normalization, voice transcription, and invoice drafting are AI-assisted. Output may be inaccurate, incomplete, or misclassified. It is provided for workflow assistance only. You remain solely responsible for the correctness of your books, tax codes, ledger balances, and reports.

5. Billing: Credits and Payments

Credit packs: processing is paid through one-time credit pack purchases. Credits are consumed per statement based on page count (currently 5 pages per credit). Pricing and pack contents are shown at purchase.
Consumption and expiry: credits are drawn oldest-first and expire 12 months after purchase. Expired credits are not refundable.
Deleting statements does not restore consumed credits.
Payments are processed by Stripe. Fees exclude applicable taxes unless stated.
Refunds: except where required by law, purchases are final.
Failed or disputed payments may result in suspension of processing until resolved.
Promotional, trial, or early-access credits may carry additional conditions and can be withdrawn.

6. Acceptable Use

You must not:

violate law, regulation, or third-party rights, or upload content you may not process;
use the Service for fraud, money laundering, sanctions evasion, phishing, or malware;
probe, overload, reverse engineer, or interfere with the Service or bypass authentication, rate limits, or credit limits;
build competing datasets or models from the Service, or resell it without written permission;
share accounts or grant access beyond the users and clients you are authorized to manage.

7. Early Access and Changes

Features marked early access, pilot, or beta may change, be limited, or be withdrawn without notice and carry a higher risk of defects. We may modify or discontinue any part of the Service; material reductions to paid capabilities will be communicated reasonably in advance where practical.

8. Intellectual Property

LedgerPilot Inc. owns the Service, including software, designs, chart-of-accounts templates, workflows, and trademarks. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal purposes while in good standing. Feedback you provide may be used without obligation.

9. Third-Party Services

The Service relies on Microsoft Azure, Stripe, SendGrid, and AI services. Their availability and terms are outside our control except as required by non-excludable law.

10. Suspension and Termination

We may suspend or terminate access for breach of these Terms, unpaid or reversed charges, legal requirement, or material security, legal, or operational risk. You may stop using the Service at any time. On termination, you should export your data; we may delete it after a reasonable period in line with our Privacy & Data Protection Policy. Sections on fees, IP, disclaimers, liability, indemnity, and governing law survive.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ALL AI OUTPUT, EXTRACTION RESULTS, AND REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR COMPLIANCE WITH ANY ACCOUNTING OR TAX STANDARD.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERPILOT INC. AND ITS PERSONNEL,

13. Indemnity

You will defend and indemnify LedgerPilot Inc. against claims arising from your Customer Data, your use of the Service, your breach of these Terms, or your violation of law or third-party rights.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. The courts of Ontario have exclusive jurisdiction, and you attorn to them.

15. General

If a provision is unenforceable, the rest remains in effect. Non-enforcement is not waiver. You may not assign these Terms without consent; we may assign in a merger, acquisition, or asset sale. These Terms, the Privacy & Data Protection Policy, the Service Level & Reliability Commitment, and any order forms are the entire agreement.
